Zomato Netherlands enters liquidation process as part of Eternal Limited restructuring

The shares of Eternal Limited were trading at ₹218 up by ₹6.61 or 3.13 per cent on the NSE today at 10.35 am.
Eternal Limited, formerly known as Zomato Limited, announced that its step-down subsidiary Zomato Netherlands B.V. has initiated liquidation proceedings effective April 9, 2025. The Netherlands-based entity has no active business operations, according to company disclosures.
The company clarified that Zomato Netherlands is not a material subsidiary and its dissolution will have no impact on Eternal Limited’s turnover or revenue. Financial data reveals the subsidiary contributed zero turnover to the parent company and represented only a negligible portion of Eternal’s net worth at ₹0.32 crores.
The liquidation process is expected to be completed within one year, subject to necessary regulatory approvals. The company had previously disclosed the subsidiary’s inactive status in its red herring prospectus dated July 6, 2021, and prospectus dated July 19, 2021.
