TVS Holdings and TVS Motor Company have initiated a seamless transition in ownership, reinforcing their succession plan.

Sudarshan Venu, currently the Managing Director of TVS Motor, has now officially become a Significant Beneficial Owner, according to a Registrar of Companies (RoC) filing dated April 23, 2025.

The filing, accessed by BusinessLine, confirms an inter-se transfer among promoters. As a result, both Venu Srinivasan and his son Sudarshan Venu are now listed as ‘persons acting in concert’ and ‘Significant Beneficial Owners’. This move aligns leadership with ownership, marking a new phase in TVS Motor’s governance.

In compliance with Section 90 of the Companies Act, 2013, and relevant rules, industrialists Venu Srinivasan and Sudarshan Venu have formally declared their significant beneficial ownership in TVS Holdings Limited—part of the broader TVS Group.

According to Form No. BEN-1 filings, both individuals disclosed their substantial indirect holdings in the company through trusts in which they serve as trustees.

The filings reveal that Venu Srinivasan, a key promoter of TVS Holdings, holds a 63.80 per cent beneficial interest in the company through the VS Trust, where he serves as trustee. His indirect rights include ownership of shares, voting rights, and entitlement to dividends. Additionally, he holds a 3.07 per cent stake through the Srinivasan Trust, also as trustee.

Sudarshan Venu, also a trustee of the VS Trust, declared the same 63.80 per cent indirect holding, along with a 3.07 per cent stake via the Srinivasan Trust.

The filings highlight that Venu Srinivasan and Sudarshan Venu are acting together, a fact noted in the official documentation. This aligns with governance norms requiring public declarations of significant influence or control in corporate entities.

The disclosures also come at a time when regulators are pushing for greater transparency around ownership structures, particularly those involving trusts and complex arrangements.

Such changes are part of a broader realignment within the extended TVS family. On March 18, 2025, it was reported that ownership and management responsibilities across TVS Holdings and Tractors and Farm Equipment Ltd (TAFE) were being reorganized, following the appointment of Lakshmi Venu as Vice Chairperson of TAFE on March 17, 2025.

The moves follow a Memorandum of Understanding signed in March 2024 by Venu Srinivasan and his family, aimed at minimising inter-family competition and ensuring business continuity.

The coordinated transition among the children of Venu Srinivasan and Mallika Srinivasan underscores the smooth and strategic execution of succession planning within the TVS Group.
